Guotou Fengle: Proposed non-public agreement to acquire 60% equity of Guotou Jinzhong.

Guotou Fengle announced that the company plans to transfer 60% of the equity of Guotou Jinzhong held by its controlling shareholder Guotou Zhongye through a non-public agreement transfer. This transaction is part of the internal integration of the agriculture sector resources within Guotou Group and does not constitute a major asset restructuring. As of January 31, 2026, the total equity value of Guotou Jinzhong's shareholders is 56.2747 million RMB, and the transaction pricing shall not be lower than the asset evaluation result that has been filed/approved. The company has completed the necessary internal pre-approval procedures and audits/evaluations, but still requires decision-making by Guotou Zhongye, board of directors and shareholders meetings, as well as approval from Guotou Group.
