Shenzhou Digital Announcement: The company's subsidiary, Beijing Shenzhou Digital Co., Ltd., intends to sign a "Database Software Procurement Contract" with China Southern Airlines Co., Ltd., to sell database software, with a contract amount of 39.95 million RMB. Mr. Guo, the Chairman of the Company, is the controlling shareholder and actual controller of the company, and also serves as an independent non-executive director at Southern Airlines. This transaction constitutes a related party transaction. On September 26, 2025, the 19th meeting of the 11th Board of Directors of the company approved the proposal. Except for related director Mr. Guo abstaining from voting, the other seven non-related directors all voted in favor. This related party transaction does not need to be submitted to a company shareholders' meeting for approval.
