Xiangcai Stock will issue A shares to the target company as the consideration for the merger. As of the implementation date of the stock exchange, the Da Zhihui shares held by Xiangcai Stock and the Da Zhihui shares held by Xinxin Group will be directly cancelled and will not participate in the stock exchange, and Xiangcai Stock will not pay consideration for these shares.
