Enlighten Design: Intends to transfer controlling stake in subsidiary

Enlightenment Design Announcement: The company held a board meeting on September 22, 2025, and approved the proposal to transfer the controlling stake of its subsidiary. The company will transfer the 51% equity stake it holds in Beijing Bild at a price of 5.0911 million RMB to Shenzhen Bild; at the same time, it will transfer the 51% equity stake in Shenzhen Bild at a price of 6.2548 million RMB to Taihe Diesexu. After the completion of the transaction, Enlightenment Design will no longer hold the equity of Beijing Bild and Shenzhen Bild, and the two companies will no longer be included in the consolidated financial statements. This transaction aims to optimize the asset structure, reduce costs, focus on core business development, and improve profitability. The pricing of the transaction is fair, and the counterparty has the ability to fulfill contractual obligations without harming the interests of the company and shareholders.
