However, after deliberation, the board of directors believes that there is a dispute over the ownership of the largest shareholder Hainan Dahe and that the deadline for the disclosure of the company's 2024 annual report has been exceeded. The current board of directors and management need to focus on preparing the annual report. In addition, the nominated non-independent directors lack industry experience related to the company's core business, which may affect the professionalism of the board's decision-making. Therefore, the board of directors has decided to reject the proposal to convene an extraordinary general meeting of shareholders.
