Sunshine Noah: Intends to Acquire 100% Equity of Langyan Life, Resumption of Trading of Company's Stock.

Sunshine Nuohuo announced on the evening of May 12 that the company plans to purchase 100% equity of Jiangsu Langyan Life Science and Technology Holdings Co., Ltd. held by 38 shareholders including Liqian and Langyi Investment through the issuance of shares and convertible corporate bonds, and raise supporting funds. As of now, the transaction price of the target assets has not been determined. Through this acquisition of Langyan Life, on the one hand, the company can realize the incubation and implementation of independently developed products, fully leverage the R&D advantages of Sunshine Nuohuo and the production and sales advantages of Langyan Life, promote the commercialization of Sunshine Nuohuo's R&D varieties and the release of Langyan Life's production capacity, and form a new profit growth point for the company. On the other hand, the company will increase its business in the pharmaceutical industry sector and achieve an industrial layout of "CRO + pharmaceutical industry". The company's stock will resume trading from May 13.
