ST Hengli: Independent Director Zhang Fan Resigns

ST Hengli Announcement: Due to personal reasons, Independent Director Ms. Zhang Fan has applied to resign from the position of Independent Director of the 10th Board of Directors of the company, and at the same time resigned from the Audit Committee of the Board and the Nomination and Remuneration Committee. Ms. Zhang's resignation will result in less than half of the Independent Directors in the company's specialized committees and a lack of accounting professionals among the Independent Directors. Ms. Zhang's resignation report will take effect after newly appointed Independent Directors are elected at the company's shareholders' meeting to fill the vacancy. Before the new Independent Directors take office, Ms. Zhang will continue to fulfill her responsibilities as an Independent Director and a member of the Board's specialized committees in accordance with relevant laws and regulations and the Company's articles of association. As of the date of this announcement, Ms. Zhang does not hold any shares of the company.
