Hongxin Jianfa: Signed a cooperation framework agreement with Far East Hongxin

Announcement by Hongxin Jianfa: The company signed a cooperation framework agreement with Far East Hongxin on May 8, 2025. According to the agreement, from May 8, 2025 to December 31, 2027, Hongxin Jianfa Group agrees to provide engineering technical services and equipment operating lease services to related parties of Far East Hongxin, and related parties of Far East Hongxin agree to provide consulting services to Hongxin Jianfa Group. The transactions proposed under the cooperation framework agreement constitute the continuous connected transactions of Hongxin Jianfa under Chapter 14A of the Listing Rules. Due to the fact that the highest applicable percentage of the proposed annual limit exceeds 0.1% but is less than 5%, it is necessary to comply with the regulations on declaration, announcement, and annual review under Chapter 14A of the Listing Rules, but exempted from the requirement to comply with the regulations on independent shareholder approval. During each fiscal year within the agreement period ending on December 31, Hongxin Jianfa Group will charge related parties of Far East Hongxin no more than 141 million yuan for engineering technical services and equipment operating lease services, and pay no more than 25 million yuan in consulting fees.
