Fuleite Glass: Acquires 60% stake in Shanghai Fulairicheng for 60.04 million yuan.

Fortune Glass announced that on August 5, the company signed an equity transfer agreement with Yihe Investment to acquire 60% of Shanghai Fulai Ruicheng for 60,039,900 yuan. Upon completion of the acquisition, Shanghai Fulai Ruicheng will become a wholly-owned subsidiary of the company, and its financial data will be included in the consolidated financial statements. Yihe Investment is held by Ruan Hongliang and Ruan Zeyun, with 37.5% and 62.5% shareholdings, respectively, making them related parties of the company. This acquisition falls within a percentage rate exceeding 0.1% but below 5%, requiring disclosure and announcement, thereby exempting it from circular and independent shareholder approval requirements. The board believes that the acquisition is in the best interest of the company and its shareholders.
