CU VENTURE INV (08159) announces that on 30 September 2026 (after trading hours and before the 2025/26 annual general meeting of shareholders), the Company entered into a subscription agreement with the subscriber, China Sheng Investment Group Limited, pursuant to which the subscriber has conditionally agreed to subscribe, and the Company has conditionally agreed to allot and issue, convertible bonds with a principal amount of HK$2.288 million, to be satisfied by releasing and discharging part of the Company's immediate payment obligation in respect of overdue liabilities owed to the subscriber group.
CU VENTURE INV (08159) announces that on 30 September 2026 (after trading hours, before the 2025/26 annual general meeting of shareholders), the Company entered into a subscription agreement with the subscriber, China Sheng Investment Group Limited, pursuant to which the subscriber has conditionally agreed to subscribe for, and the Company has conditionally agreed to allot and issue, convertible bonds with a principal amount of HK$2.288 million, to be satisfied by releasing and discharging part of the Company's immediate payment obligations in respect of overdue liabilities owed to the subscriber group. Upon full conversion of the convertible bonds at the initial conversion price of HK$1.144 per conversion share (subject to adjustment), the Company will issue a total of 2,000,000 conversion shares (after the share consolidation takes effect), representing approximately 4.73% of the Company's issued share capital as enlarged by the allotment and issue of the conversion shares upon full conversion of the convertible bonds at the conversion price (without adjustment). The conversion price of HK$1.144 per conversion share represents a premium of approximately 2.14% over the theoretical closing price of HK$1.12 per consolidated share (taking into account the effect of the share consolidation), calculated based on the closing price of HK$0.056 per existing share as reported by the Stock Exchange on the date of the subscription agreement.
