DL HOLDINGS GP (01709) announced that on September 21, 2026 (after trading hours), the Company entered into a non-binding memorandum of understanding (the "MOU") with Polibeli Group Ltd ("Polibeli", a company incorporated in the Cayman Islands and listed on the Nasdaq Stock Market under the symbol "PLBL"), in relation to the preliminary assessment of potential business cooperation in AI-related cloud computing services and supporting digital infrastructure, with an initial focus on potential opportunities in Southeast Asia and other overseas markets (the "Proposed Cooperation"). Pursuant to the MOU, the Company and Polibeli (collectively, the "Parties") intend to establish a framework to assess potential cooperation opportunities in selected overseas markets in relation to AI-related cloud computing services and supporting digital infrastructure. The Group has been exploring business opportunities in digital finance, AI-related computing services and supporting digital infrastructure. The Board believes that the continued development and adoption of AI applications are creating opportunities for computing resources, cloud services and supporting digital infrastructure. The Board believes that the MOU provides the Group and Polibeli with a preliminary framework to assess potential opportunities in selected overseas markets, leveraging the Parties' respective market knowledge, industry networks, supply chain capabilities and cross-border experience. The Proposed Cooperation may enable the Group to expand its assessment of overseas AI-related computing and digital infrastructure opportunities, and to explore potential business models and industry resource cooperation. The Board believes that entering into the MOU is in line with the Group's strategy of prudently exploring opportunities in technology and cloud computing, and is in the overall interests of the Company and its shareholders.
