SMART DIGI TECH (01159): Placement Agreement Invalid
ZhiShu Technology Group (01159) announced that it intends to place a maximum of 28.3 million shares. However, as the conditions precedent set out in the placement agreement have not been fully met and/or waived by the date of this announcement (i.e., the deadline), the placement agreement has become void and the placement will not proceed. All rights, obligations, and liabilities of the contracting parties in relation to the placement will terminate and be discharged, and the contracting parties shall not make any claims against each other regarding the placement, except for any defaulting party prior to this.

All rights, obligations, and liabilities of the parties to the placement agreement regarding the placement matter will terminate and be released, and the parties to the placement agreement shall not make any claims against each other in relation to the placement matter, except in the case of any prior defaults.
