BEAUTYFARM MED (02373) announced that on August 5, 2026, the buyer (Nair Care Medical Devices and Nair Health Management, both being non-wholly owned subsidiaries of the company) entered into a share transfer agreement for 2026 with the seller (Guangzhou Beiminsheng Enterprise Management Co., Ltd.). Under the 2026 share transfer agreement (including it), the seller has conditionally agreed to sell, while the buyer has conditionally agreed to purchase the target business (including 100% equity of Hangzhou Nair Health Technology Co., Ltd. and Hangzhou Xiaoshan Nair Medical Beauty Clinic Co., Ltd.), with a total consideration of RMB 10 million. Upon the completion of the acquisition in 2026, the company will hold 90% equity of the target companies, which will become non-wholly owned subsidiaries of the company. Hangzhou Xiaoshan Nair Medical Beauty Clinic Co., Ltd. is a limited liability company registered in China and a wholly-owned subsidiary of the seller. It mainly operates one medical clinic located in the Hangzhou area. Hangzhou Nair Health Technology Co., Ltd. is a limited liability company registered in China and also a wholly-owned subsidiary of the seller. It primarily operates nine Nair brand beauty and health service outlets in the Hangzhou area. With the successful completion of the acquisition in 2026, the group will add 10 directly-operated stores, including one medical beauty clinic and nine beauty and health stores, raising the total number of directly-operated stores in Hangzhou to 25 and significantly enhancing the group's influence in the Hangzhou market. With the expansion of the Hangzhou store footprint, the group will take this opportunity to upgrade the Hangzhou medical beauty clinic to a dual medical clinic. The Meitian Medical Clinic will officially open in Hangzhou on August 18, 2026, covering medical beauty services and adding sub-health medical services. This acquisition, combined with the upgrade of the medical clinic, aligns with the group's core strategy of "deepening its presence in 20 high-tier cities in China," establishing a "dual beauty + dual health multidimensional business model" in the Hangzhou region, which will become a key layout pivot for Nair's expansion into the Yangtze River Delta.
