GOFINTECH QUANT (00290) plans to issue 915 million shares at a discount of approximately 12.12%, raising approximately HK$13.214 billion.

GOFINTECH QUANT (00290) announced that on August 14, 2025, the company entered into 11 separate subscription agreements with 11 subscribers. In accordance with these agreements, the company conditionally agreed to issue and allot shares to the subscribers, who conditionally agreed to subscribe for a total of 915 million shares, equivalent to approximately 9.13% of the enlarged issued share capital of the company. The subscription price for each share is HK$1.45, representing a discount of approximately 12.12% from the closing price of HK$1.65 on August 14. The total gross proceeds and net proceeds raised through the subscription will be approximately HK$1.326 billion and HK$1.321 billion respectively. These funds will be used for the following purposes: (a) 20% of the net proceeds will be used to expand the company's digital asset financial license business and infrastructure. (b) 10% of the net proceeds will be used to expand the company's RWA investment banking business. (c) 45% of the net proceeds will be used to develop Pre-RWA funds and RWA secondary market funds. (d) 25% of the net proceeds will be used to invest in financial technology and RWA technology platforms, including the establishment of a joint venture with Northking Information Technology Co., Ltd and related technology research and development and application scenario expansion.
