Zhongheng Group: Guangtou Financial Holdings' tender offer Q2 supervision opinion issued

Zhongheng Group announced that Guohai Securities, as the financial advisor for Guangtou Financial Holdings and its concert party Yijian Group regarding the exemption from the obligation to make a tender offer for the company, issued its Q2 2026 continuous supervision opinion. In September 2025, Guangtou Group increased its capital contribution to Guangtou Financial Holdings using its 26.89% stake in the company. During this supervision period, the acquirer and its controlling shareholder had no violations of commitments, did not adjust the company's main business, did not implement any major asset restructuring, did not amend the company's articles of association, did not make significant changes to employee hiring, did not adjust the dividend policy or organizational structure, and only completed the relevant procedures for director adjustments as required.
