According to the announcement from Beauty Farm Medical Health (02373.HK), on August 5, 2026, the buyer (Nairui Medical Devices and Nairui Health Management, both being non-wholly-owned subsidiaries of the company) and the seller (Guangzhou Beiminsheng Enterprise Management Co., Ltd.) entered into an equity transfer agreement for 2026. Under the equity transfer agreement for 2026 (including other provisions), the seller conditionally agreed to sell, while the buyer conditionally agreed to acquire the target business (which includes 100% equity of Hangzhou Nairui Health Technology Co., Ltd. and Hangzhou Xiaoshan Nairui Medical Beauty Outpatient Department Co., Ltd.), for a total consideration of RMB 10 million. Upon completion of the acquisition in 2026, the company will hold 90% of the equity of the target company, which will become a non-wholly-owned subsidiary of the company.
