The Company intends to acquire 100% of the issued share capital of Shand Global Investment Management Limited (the target company) from the seller (potential acquisition). The target company is a licensed corporation under Chapter 571 of the Securities and Futures Ordinance of Hong Kong (SFO) engaging in regulated activities of Type 1 (dealing in securities), Type 4 (securities advisory), and Type 9 (asset management) with a Securities and Futures Commission license (SFC License).
