(Civilian Explosives Optoelectronics): Intends to issue 235 million yuan worth of shares to purchase 49% equity of Xiamen Zhizhi Precision.

The announcement of Minbao Optoelectronics stated that the company plans to purchase 49% equity of Xiamen Zhizhi Precision from Xiamen Maida through the issuance of shares, with a transaction price of 235 million yuan and an issuance quantity of 9.4724 million shares. Before this transaction, the company had already acquired 51% equity of Xiamen Zhizhi Precision with cash. After the transaction is completed, the company will achieve full control of the target company, deepening business integration and synergy. The transaction has obtained the preliminary consent of relevant parties and approval by the board of directors, and still requires approval from the shareholder meeting, review by the Shenzhen Stock Exchange, and registration with the China Securities Regulatory Commission. Guosen Securities has no objections to the transaction.
