Lundell High-tech Announcement: In August 2023, the company signed a equity transfer agreement with the shareholders of Yunnan Xuansheng Seed Industry Co., Ltd. The performance commitment party committed that the non-deductible net profit of Yunnan Xuansheng from 2023 to 2025 shall not be less than RMB 99.0834 million. After audit, Yunnan Xuansheng achieved a cumulative non-deductible net profit of RMB 96.6248 million from 2023 to 2025, completing 97.52% of the performance commitment. According to the agreement, the performance commitment party should compensate the company with RMB 9.3065 million in cash. As of the disclosure date of this announcement, the company has deducted this performance compensation amount from the remaining equity transfer payment to be paid to the performance commitment party. The performance commitment party has fulfilled the performance commitment compensation obligation for the years 2023 to 2025.
