Rainbow Holdings: Controlling shareholder Xianyang Jinkong will transfer 90% of its equity in Ruyi Broadcasting to Ruyi Electronics for no consideration, which has been completed.

Rainbow Group Announcement: On June 26, 2026, the company received a letter from its controlling shareholder, Xianyang Jinkong, informing that in accordance with the unified deployment of SOE reforms by the Xianyang SASAC, Xianyang Jinkong will transfer 90% equity of Ruyi Broadcasting, held by them, to Ruyi Electronics for free. Ruyi Broadcasting holds 1.09 billion shares of the company, accounting for 3.03% of the total share capital. After the transfer, Ruyi Electronics will hold 90% equity of Ruyi Broadcasting. Ruyi Electronics and Xianyang Jinkong are both wholly-owned subsidiaries of Xianyang Cai Tou, with the same ultimate controller being the Xianyang SASAC. Xianyang Jinkong and Ruyi Broadcasting remain acting in concert, with a total shareholding of 34.04%. This change in equity will not lead to a change in the company's controlling shareholder or ultimate controller, and will not affect the number of shares held. The transfer of state-owned equity has been completed.
