Trump Media Technology Group and TAE Technology Company announced today that they are still fully committed to moving forward with the previously announced merger transaction, and are striving to complete the delivery by the fourth quarter of 2026 or earlier. Additionally, it was disclosed on February 27, 2026 that TMTG, TAE, and Texas Wind Investment Acquisition Three Phase have been discussing a spin-off plan: planning to divest some of TMTG's media assets, establish a new publicly traded company, and after the completion of the TAE merger transaction, merge this new company with Texas Wind Investment Acquisition Three Phase. After a thorough evaluation, all parties have decided not to proceed with the spin-off plan at this stage. After the completion of the TAE merger transaction, the board of directors of the merged entity will evaluate various strategic optimization plans for the various business sectors of the group to enhance shareholder value.
