Mountain Eagle International: Acquiring equity stake held by investment fund in subsidiary company, fund intends to liquidate and deregister.

The announcement from Mountain Eagle International states that in December 2022, the company's wholly-owned subsidiary, Mountain Eagle Private Equity, participated as a limited partner with a contribution of 750 million yuan to establish the Intersect Fund, with a total size of 1.5 billion yuan. The Intersect Fund increased the capital of the company's wholly-owned subsidiary, Huazhong Mountain Eagle, by 1.5 billion yuan. After the capital increase, the Intersect Fund held 26.8474% equity of Huazhong Mountain Eagle. According to the company's overall plan, the company acquired 13.4237% equity of Huazhong Mountain Eagle held by the Intersect Fund, with the remaining 13.4237% equity non-cash distributed to Mountain Eagle Private Equity. Huazhong Mountain Eagle became an indirectly wholly-owned subsidiary of the company, and the Intersect Fund is planned to be liquidated and deregistered.
