Taiji Group: Intends to acquire 100% equity of Tongjunge Traditional Chinese Medicine Wholesale for 23.43 million yuan.

Taiji Group announced that it plans to acquire 90% of the equity of Tongjunge Traditional Chinese Medicine Wholesale held by Chongqing Chinese Herbal Medicine Company and 10% of the equity held by Fuling Medicine for a transfer price of 21.08 million yuan and 2.35 million yuan, respectively. As of December 31, 2024, Tongjunge Traditional Chinese Medicine Wholesale has total assets of 77 million yuan, net assets of 23.42 million yuan, revenue of 136.03 million yuan, and net profit of 2.91 million yuan. This transaction has been approved by the board of directors, does not involve external shareholders, does not affect the scope of consolidated financial statements and financial operating conditions, and aims to integrate resources and optimize equity structure.
