Zhtng cijng APP-news, RAFFLESINTERIOR (01376.HK) announced that the board of directors received a letter from an international law firm representing its client (claimant) on November 14, 2025, and requested the board's attention. The letter stated that: 1. On or around June 20, 2025, the claimant entered into an agreement with Mr. Zheng Nenghuan (Chairman of the Board and controlling shareholder of the company) for the provision of consulting services; 2. Pursuant to the consulting services agreement, Mr. Zheng Nenghuan is obligated to pay the claimant a total service fee of HK$10 million; 3. Under the consulting services agreement, if Mr. Zheng Nenghuan fails to fulfill his payment obligations for the services provided, the claimant has the right to demand that Mr. Zheng Nenghuan (a) transfer or cause the transfer of any assets owned or to be owned, whether directly or indirectly through special purpose entities, and/or (b) transfer any or all shares directly or indirectly acquired by Mr. Zheng Nenghuan to the claimant, enabling the claimant to recover at least the amount of the service fee. Therefore, the claimant has the right to demand that Mr. Zheng Nenghuan transfer his controlling interests in the company to recover his service fee; and 4. The claimant has taken legal action against Mr. Zheng Nenghuan to enforce his rights under the consulting services agreement, and if the claimant is successful in taking action, he will take all necessary steps to exercise his asset disposal rights.
