The Istong announcement states that the company plans to sign an "Investment Cooperation Agreement" with BOE Sense, jointly invest in the establishment of a joint venture company, and carry out servo-related business. The registered capital of the joint venture company is 150 million yuan, of which BOE Sense contributes 90 million yuan, accounting for 60%; the company contributes 60 million yuan, accounting for 40%. BOE Sense and Istong agree to jointly establish a company specializing in the research and development, production, and sales of general servo products, linear drive products, and precision drive control products, relying on Istong's patent technology in the general servo and linear drive business areas. In addition, the company plans to sign a "Technology License and Technology Service Agreement" with the joint venture company to provide the technology license required for production operations, with a transaction amount of 50 million yuan. This transaction constitutes a related party transaction.
