*ST Ningke announced that on November 13, 2025, the company and its subsidiaries Zhongke New Materials and Hengli Guomao received a ruling from the Shizuishan Intermediate People's Court approving the reorganization plan and terminating the reorganization process. The deadline for the reorganization execution is until December 31, 2025, and can be extended if unable to complete due to reasons beyond their control. This reorganization involves equity adjustments, and if successfully executed, the company's share capital structure, controlling shareholder, and actual controller will change. During the execution period, if the reorganization plan is not executed or cannot be executed, there is a risk of the company and its subsidiaries being declared bankrupt and the stock being delisted.
