German Nanotechnology: Termination of joint venture project with ICL

German Nanotechnology Announcement: The company had previously signed a joint venture agreement with Amsterdam Fertilizers B.V., a subsidiary of ICL Group Ltd. The company and Amsterdam Fertilizers intended to jointly increase the capital of ICL BM, S.L. After the capital increase, Amsterdam Fertilizers would hold 80% of the project company, while the company would hold 20%. The project company primarily produces lithium iron phosphate, with a total expected investment of 285 million euros. Since signing the joint venture agreement with the partner, both parties have been actively advancing the joint project. However, due to changes in the market environment, international policies, company strategies, and other internal and external factors during the advancement process, the economic viability of the project has been affected and the expected returns are highly uncertain. In order to optimize resource allocation and reduce investment risks, after careful consideration and friendly communication between the company and the joint venture party, both parties have unanimously decided to terminate the joint project.
