Financial news from Wisdom Finance APP, Delin Holdings (01709) announced that on November 12, 2025, the company and Youngtimers AG (YTME) have reached a legally binding list of terms on the proposed subscription matter. Accordingly, upon the formal agreement being reached, (i) the company conditionally agrees to subscribe, while YTME conditionally agrees to subscribe and issue a total of 19.0476 million YTME subscription shares at a subscription price of 0.42 Swiss francs per share (equivalent to approximately HK$4.10), with a total consideration of US$10 million (equivalent to approximately HK$78 million), some of which will be paid in cash, and some will be paid by issuing consideration shares to YTME at the post-acquisition price after completion; (ii) YTME is required to grant subscription options to the company, and the company will have the right to purchase up to 3.8095 million shares of YTME at a subscription price of 0.42 Swiss francs per share (equivalent to approximately HK$4.10 per share) or a total of approximately US$2 million (equivalent to approximately HK$15.6 million). After completion, YTME will hold approximately 0.885% of the company's enlarged issued share capital through the issuance of consideration shares.
