Guotou Fengle announced that a board meeting will be held on November 11, 2025 to review and approve the proposal for the internal gratuitous transfer of equity of its wholly-owned subsidiary. Tonglu Agriculture plans to transfer 100% equity of Shanxi Fengle and Zhangye Fengle plans to transfer 100% equity of Jinling Seed Industry to the company. As of December 31, 2024, Shanxi Fengle had a revenue of 250,439,300 yuan and a net profit of 46,445,800 yuan; Jinling Seed Industry had a revenue of 47,465,700 yuan and a net profit of 12,399,600 yuan. This transfer does not constitute related party transactions or major asset restructuring, does not change the scope of consolidated financial statements, and is beneficial for optimizing management structure and improving efficiency.
