Caesars Culture announced that on November 6, 2025, the controlling shareholder Caesars Group completed the transfer of 47.83 million shares of the company to He Xiaowei at a transfer price of 3.33 yuan per share, with a total consideration of 159 million yuan. After this equity change, Caesars Group and its concerted actors' shareholding decreased to 17.50%, while He Xiaowei's shareholding increased to 5.08%, becoming a shareholder with a stake of over 5%. He Xiaowei has committed not to reduce the transferred shares within 36 months. This change does not involve a tender offer, and the ultimate controller remains unchanged.
