Wahana Holding Group (00622.HK) and Wutong (00613.HK) have entered into a stock swap agreement.

Zhixin Financial News APP reported that Weihua Holdings (00622.HK) announced on November 3, 2025 (after trading hours) that the company has entered into a share swap agreement with Wutong (00613). According to the agreement, upon meeting certain conditions, the company will subscribe to approximately 189 million shares of Wutong at a subscription price of HK$1.986 per share, with a total consideration of HK$3.756 billion; Wutong will subscribe to approximately 760 million shares of Weihua Holdings at a subscription price of HK$0.494 per share, with a total consideration of HK$3.756 billion.
