China Shengmu Organic Milk Limited (01432.HK) plans to receive a premium of approximately 14.75% for the full acquisition offer from Modern Dairy (01117.HK).

Zhixin Financial News APP, China Shengmu (01432.HK) and Modern Dairy (01117) jointly announced that on October 30, 2025, each selling shareholder and Modern Dairy Holdings entered into a share purchase agreement. Modern Dairy Holdings conditionally agreed to purchase 107.2 million shares of China Shengmu held by the relevant selling shareholders (accounting for approximately 1.28% of the total issued share capital of China Shengmu as of the date of this announcement) for a total consideration of HK$37.52 million in cash.
