Behind the dual growth in performance.
Nearly a year after filing, the sudden "upsizing" of AM PM Group's US$34 million IPO stands out as particularly abrupt against the backdrop of small and mid-cap Chinese stocks listing in the US during the same period generally cutting deal sizes to protect pricing, or even abandoning filings due to higher fundraising thresholds. According to available information, AM PM Group first filed with the SEC as early as August 18, 2025. When this Hong Kong marketing company initially submitted its prospectus, it planned to offer only 1.5 million shares to raise US$7 million, corresponding to a market value of approximately US$120 million at the midpoint. Nearly a year later, the plan abruptly changed to 7.5 million shares raising approximately US$34 milliona fourfold expansion in offering size, with valuation slightly lower instead. Viewed within the context of Hong Kong's marketing industry, the timing is just right. Total Hong Kong advertising spend in 2025 was HK$33.9 billion, down 3% year-on-year, but rebounded 5% in the fourth quarter, showing signs of stabilization at year-end. More critically, structural changes are occurring within the sector: social media advertising spend rose 15% against the trend, IP-themed events are regarded by retailers as a core means of offline breakthrough, and the conversion of "fan economy" into physical foot traffic is becoming a new source of added value for marketing services. The pie for traditional project-based advertising has not grown larger, but IP exhibitions, content production, and experiential marketing are capturing the incremental growth. AM PM packages "events + content + IP" into a single narrative, targeting precisely this diverging industry gap. Behind the Dual Growth in Performance AM PM Group was founded in 2009, with its business concentrated in three areas: event management and decoration, content production and design, and IP exhibitions. In terms of performance, AM PM Group delivered a solid double-growth report card for fiscal year 2025: revenue of US$12.0173 million, up 36.5% year-on-year; net profit of US$951,100, up 24.0% year-on-year. Breaking down the revenue structure, the 2025 revenue increment was mainly driven by strong growth in the event management and decoration segment, where revenue jumped from US$4.262 million to US$10.053 million, raising its share of total revenue to 83.6%. Meanwhile, the company strategically focused its business portfolio in line with market conditions, concentrating resources further on offline event execution, while the content production and design segment maintained a relatively stable base, edging down 3.7% to US$1.964 million. Amid rapid scale expansion, the company's overall gross margin remained at a solid level of 28.75%, essentially flat versus 28.88% in 2024. Specifically in the event management segment, although the segment's gross margin was adjusted from 36.4% to 29.6% during the scale expansion period in order to win large projects, this was essentially a strategic choice by the company to trade moderate margin concessions for market share and scale effects when facing major clients; overall net profit still achieved solid growth of 24%. Notably, the company demonstrated strong refined management capabilities in expense control and operational efficiency. In 2025, operating income reached US$1.621 million, up nearly 60% year-on-year. This was mainly attributable to significant optimization of selling and marketing expenses, which fell from US$103,000 to US$42,000. In addition, judging from the cash flow statement, the company's operating cash flow is continuing to improve. Net cash flow from operating activities in 2025 was -US$324,100, a substantial narrowing from -US$1.921 million in 2024, reflecting notable results in cash flow management. This indirectly corroborates that the company's core business is rapidly restoring its genuine cash-generating capability. Focusing on Core Scenarios Offline Experiential Marketing Becomes the Breakout "Main Force" In our view, the most noteworthy aspect of AM PM Group's prospectus is the shift in its business structure. The IP exhibition business, which contributed US$2.504 million in revenue in 2024, underwent a phased contraction in 2025; content production and design, as the base business, held its ground at around US$1.964 million; while the event management and decoration segment experienced a full-scale surge, soaring from US$4.262 million to US$10.052 million, raising its share of total revenue to 83.7%. Looking at Hong Kong's current marketing industry, this shift in business focus aligns precisely with industry development trends. Total Hong Kong advertising spend in 2025 was approximately HK$33.9 billion. Although the overall pie has not grown significantly larger, structural divergence is intense. As the government vigorously promotes the mega-events economy, various large-scale exhibitions, concerts, and mall festive events have surged, and offline experiential marketing is becoming a core means for brands to break through. Facing this vast incremental market, AM PM Group has concentrated resources into the event management and decoration segment, where demand is strongest and certainty is highest. By undertaking large projects at scale, the company not only achieved revenue growth but also accumulated substantial top-tier client resources and abundant hands-on experience. In the market's view, this "single-engine strong drive" model provides solid support for the company's current stage of development. The prospectus shows that the surge in the event business in 2025 was mainly attributable to undertaking larger-scale concert-related projects. Currently, large project-based revenue is characterized by large single-ticket amounts and strong brand effects. Successfully executing such heavyweight events not only validates the company's strong coordination and execution capabilities but also builds extremely high credit endorsement for its subsequent expansion into other businesses. For the company's long-term development, content production, IP exhibitions, and event management inherently possess strong synergy potential. Once the event management segment establishes a solid base through scale, the company will be fully capable in the future of leveraging this vast offline traffic pool and client network to reverse-empower and restart high-value-added IP and content businesses, thereby achieving a synergistic closed loop across its three major segments. It is worth noting that this phased adjustment in AM PM Group's business structure is also reflected in the use of proceeds from its US IPO. The company plans to raise approximately US$34 million, with 30% for expanding content production and recruiting talent, 20% for geographic coverage to expand its client base, and 20% for strategic acquisitions. This allocation reflects the company's strategic vision: using external capital to, on one hand, geographically replicate its existing advantaged event management business to sustain growth, and on the other hand, provide ample ammunition for restarting the content and IP narrative.
