TOPSTANDARDCORP (08510) announces that on October 19, 2026, Top Thinker Group Limited (the subscriber), a direct wholly-owned subsidiary of the Company, entered into the agreement with Mr. Ta Shun Dher, Mr. Koh Chee Loong, Ms. Siew Y'ng-lyn and the target company Aori Malaysia Sdn. Prior to the subscription, the target company was an associate of the Company and approximately 49% held by the subscriber. Completion occurred upon signing of the agreement, and the Company holds 60% equity interest in the target company, which has become a non-wholly-owned subsidiary of the Company, and its financial results will be consolidated into the Group's consolidated financial statements. It is reported that the target company owns the entire equity interest in Aori Pavillion, a limited company incorporated in Malaysia and principally engaged in operating Japanese ramen restaurants in Malaysia. Since the initial investment in the target group, the local catering market in Malaysia has continued to recover following the pandemic, demonstrating the operational resilience and long-term business potential of the target group. The Directors believe that the subscription for additional equity interest in the target company will enable the Group to obtain legal control over the target group.
