On the news front, ZHIHUI MINING announced that on September 17, 2026, the Company entered into a cooperation framework agreement (the "Agreement") with Zhaojin Nonferrous Mining Co., Ltd. ("Zhaojin Nonferrous") in Zhaoyuan City, Shandong Province, to establish a framework arrangement for both parties to carry out investment cooperation in mining projects within the Tibet Autonomous Region. Both parties agreed to cooperate under the model of "the Company leading preliminary due diligence and business negotiations, and Zhaojin Nonferrous jointly establishing an acquisition platform company to implement equity acquisitions after review and confirmation," sharing risks and rewards.
The Board believes that entering into the Agreement will enable the Group to leverage its local resources, channel advantages, and project reserves in the mining sector of the Tibet Autonomous Region, combined with Zhaojin Nonferrous's mature mining project investment management and control, construction and operation, and technical management capabilities and financial strength, to achieve complementary advantages, open up a channel for the Company's continuous resource expansion, and transform Tibet's abundant resource endowments into a pool of actionable reserves, which will help accelerate the Group's expansion of mining projects in the Tibet Autonomous Region. The Board believes that the terms of the Agreement are fair and reasonable and in the overall interests of the Company and its shareholders.
