Shanghai Gentech (688596.SH) has disclosed its draft stock option incentive plan for 2026, proposing to grant 5 million stock options to incentivized individuals, which accounts for approximately 1.57% of the company's total equity at the time of the announcement of the draft incentive plan. This grant is a one-time award, with no reserved rights. The total number of recipients planned for this grant is 69, with an exercise price of 66.53 yuan per share. The stock options granted under this equity incentive plan are divided into three exercise periods, with corresponding waiting periods of not less than 18 months, 30 months, and 42 months from the date of grant, unlocking proportions of 30%, 30%, and 40%. The assessment of this incentive plan is divided into company-level performance assessments and individual-level performance assessments. The company-level performance assessment years are the three fiscal years of 2027-2029, with targets of no less than 7 billion yuan in operating revenue for 2027, with no less than 3.5 billion yuan from semiconductor business revenue; no less than 8.4 billion yuan in operating revenue for 2028, with no less than 4.2 billion yuan from semiconductor business revenue; and no less than 10 billion yuan in operating revenue for 2029, with no less than 5 billion yuan from semiconductor business revenue. An assessment will be conducted for each fiscal year, calculating the company-level exercise ratio based on the completion of the company performance assessment indicators. If the actual completion of the performance indicators for the assessment period is below 80%, the exercise coefficient will be 0; if the actual completion is between 80% and 100%, the exercise coefficient will be 0.8; and if the actual completion is 100% or above, the exercise coefficient will be 1.0.
