TESSON HOLDINGS (01201) has completed the placement of a total of 70 million shares.

TESSON HOLDINGS (01201) announced that all conditions precedent under the placing agreement and the underwriting agreement have been fulfilled, and the completion of the placing and underwriting arrangements is therefore confirmed on August 6, 2026. According to the placing agreement, a total of 36.802 million placing shares have been allocated and issued to the placees at a placing price of HKD 1.50 per placing share. As of the expiry date of the placing period, there are still 33.198 million placing shares that have not been subscribed, and pursuant to the underwriting agreement, BAIJIAN has subscribed for these, and the company has formally allocated and issued 33.198 million underwriting shares to BAIJIAN at a price of HKD 1.50 per share. Upon completion, the total of 70 million new shares issued and allotted will account for approximately 18.94% of the companys issued share capital immediately before completion, and approximately 15.92% of the companys issued share capital after the issuance and allotment of such shares.
