According to the Financial Times on August 1, OpenAI received the final tranche of investment this week. This development means that Amazon chose to fulfill its entire commitment early, even though the two triggering conditionsoriginally stipulating that OpenAI complete its initial public offering or achieve a significant breakthrough in AI technologyhad not been met, injecting substantial funds into this continuously loss-making startup.
The immediate context of this investment completion is that in April of this year, OpenAI and Microsoft successfully renegotiated their cloud service contract, clearing the way for other cloud service providers, including AWS, to formally offer services to OpenAI. According to informed sources, it was only after this contract renegotiation that Amazon ultimately agreed to inject the full amount. Previously, the Financial Times had reported that Microsoft considered taking legal action over concerns that the collaboration agreement between Amazon and OpenAI might constitute a breach.
Investment in multiple stages, $50 billion fully executed
According to financial disclosure documents released by Amazon on Friday, the $50 billion investment was completed in two phases. In February of this year, as part of a broader commercial partnership, Amazon made an initial investment of $15 billion into OpenAI; it also committed to an additional $35 billion if specific milestones were met. However, since those milestones were not achieved, Amazon ultimately decided to complete the entire investment, raising its stake to approximately 5%.
Following the investment, the relationship between Amazon and OpenAI is no longer limited to a purely financial link; it now encompasses commercial agreements across several areas, including chip supply, computing resources, and cloud services. This will also help OpenAI secure more ample funding for training the next generation of AI modelsa phase that is extremely costly and is seen as a core factor in maintaining competitiveness with Anthropic, Google, and Chinese rivals.
Currently, OpenAI is valued at approximately $852 billion, and Amazon's roughly 5% stake corresponds to a considerable value. Amazon declined to comment on the shareholding ratio.
Amazon simultaneously deepens its engagement with Anthropic
Amazon's expansion in the AI sector is not confined to OpenAI. Financial disclosure documents also show that Amazon has committed up to $33 billion in investment to Anthropic, OpenAI's main competitor, and has already disbursed $18 billion of that amount.
Amazon is leveraging both OpenAI and Anthropic, two leading AI labs, to promote the market penetration of its in-house Trainium chips. Trainium is Amazon's core hardware product designed to compete against NVIDIA's market dominance and Google's TPU. At the same time, Amazon is committed to ensuring that the models from both AI labs are accessible to its cloud customers, thereby strengthening AWS's competitive advantage in the AI service market.
Renegotiation of Microsoft contract paves the way for investment
The realization of this investment largely depends on the redefinition of the contractual relationship between OpenAI and Microsoft. According to informed sources, the contract renegotiation in April broke Microsoft's prior near-exclusive control over OpenAIs cloud services, allowing AWS to formally provide cloud computing services to OpenAI.
Before this, the situation was highly tense. The Financial Times previously reported that Microsoft had internally discussed the possibility of taking legal action over concerns that OpenAI's collaboration with Amazon might violate relevant contract terms. With the completion of the contract renegotiation, this obstacle was removed, allowing Amazon to finalize its decision to invest the full amount.
This contractual change marks a significant strategic pivot for OpenAI in cloud servicesfrom reliance on a single partner to gradually moving towards multi-cloud deployment, which is also a noteworthy structural change for the long-term, deeply intertwined collaboration between Microsoft and OpenAI.
