Analog Devices (ADI.US) splashes out 1.5 billion dollars in cash to acquire Empower Semiconductor, further enhancing AI data center energy efficiency chips.
Analog Devices Inc. (ADI.US), a leading simulation chip company, has agreed to acquire private semiconductor company Empower Semiconductor for $1.5 billion in cash.

With the explosive growth in demand for data center computing power driven by artificial intelligence, the importance of efficient chips is increasingly evident.
ADI CEO Vincent Roche stated in a declaration on Tuesday, "AI infrastructure is fundamentally reshaping the way power is delivered, and energy has become the most enduring constraint in extending the next generation of systems." He added that Empower is expanding its product portfolio to help customers redesign their power systems to achieve the high computing power density required for the next generation of AI.
For ADI, the $1.5 billion all-cash transaction is not difficult to afford. ADI achieved revenue of $11 billion in the fiscal year 2025, a 17% year-on-year increase, with free cash flow reaching $4.3 billion (39% of revenue). In addition, ADI expects second-quarter revenue for the fiscal year 2026, to be announced on May 20, to be approximately $3.51 billion, a 33% year-on-year increase, with net profits of approximately $1.06 billion, an 86% increase year-on-year.
The market generally expects ADI's second-quarter earnings per share to be around $2.89, a significant increase of 56% from the same period last year. ADI's share price has risen by 52.77% so far this year, surpassing a market value of $202 billion. Strong cash flow and robust performance growth provide a solid financial cushion for ADI's high premium strategic acquisition.
According to the two companies, Empower CEO Tim Phillips will be responsible for internal integrated voltage regulator development at ADI.
Headquartered in Milpitas, California, Empower Semiconductor mainly produces chips for data centers, which are said to have lower energy consumption and help reduce operating costs. The company announced last September that it had raised over $140 million in funding in a Series D round led by Fidelity Management and Research Company.
ADI is mainly engaged in chip design, manufacturing, and sales for industrial and communication equipment, consumer electronics, and automotive industries. For ADI, this acquisition will fill in its technological gaps in "near-processor power supply" and "vertical power supply," expanding its power product line from traditional board-level management to internally integrated stabilizers, thus establishing a complete power solution chain from the power grid to chip cores, forming a differentiated technological barrier against competitors.
In this transaction, PJT Partners Inc. serves as ADI's financial advisor, while Empower's advisor is Barclays PLC Sponsored ADR. The deal is expected to be completed in the second half of 2026.
